License Agreement ("Agreement")

Please read this End-User License Agreement ("Agreement") carefully before downloading or using Shimadzu Multi-omics Gadgets Pack ("Application"), jointly developed as a collaboration between Shimadzu Corporation, Osaka University, and The Systems Biology Institute.
By, downloading or using the Application, you are agreeing to be bound by the terms and conditions of this Agreement.
If you do not agree to the terms of this Agreement, do not download or use the Application.

License
Shimadzu Corporation and the Systems Biology Institute ("Provider") grant you (the "User") a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application solely for your personal, non-commercial purposes accessible and usable only through the Garuda Platform (provided as a freely available platform by The Garuda Alliance led by The Systems Biology Institute), and associated software (called "gadgets") and features of the platform, hereinafter referred to in part or totality as "Platform" strictly in accordance with the terms of this Agreement.

Restrictions
You agree not to, and you will not permit others to:
a) license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party.
b) access, modify, reverse engineer source code or access, modify configurations of the Application and contents (including, but not limited to inputs and outputs associated with the Application ("Data") therein
c) make the Application available outside the Platform.
d) Limitations on Use: The User agrees that, the Provider shall have sole and exclusive ownership of and all right, title and interest in and to the Application. This Agreement does not provide the User with title or ownership of the Application. The User will not modify or prepare derivative works of the Application. The User may not reverse assemble or reverse compile the Application or use other means to identify the Application's source code.

Prices and Payment
The Provider, as of the Effective date, grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application solely for your personal, non-commercial purposes accessible and usable through the Platform at NO CHARGE. The Provider reserves the right to change the Prices and Payment conditions to the Application or or any service to which it connects, with or without notice and without liability to the User.

Warranties; Limitation of Liability
The Provider represents and warrants that (i) it has all power and authority, corporate and otherwise, to enter into this Agreement and perform its obligations hereunder, (ii) it has duly authorized, executed and delivered this Agreement. PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PURPOSE OR NONINFRINGEMENT OF ANY PATENT, COPYRIGHT OR OTHER THIRD PARTY INTELLECTUAL PROPERTY RIGHT AND USAGE OF THE APPLICATION WITH THE PLATFORM OR DATA WHICH IS INPUT TO THE APPLICATION OR OUTPUT FROM THE APPLICATION. NEITHER PARTY HERETO SHALL BE LIABLE TO THE OTHER PARTY OR ANY OTHER PERSON OR ENTITY FOR ANY SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS), WHETHER CAUSED BY NEGLIGENCE OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Modifications to Application
The Provider reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

Term and Termination
This Agreement shall remain in effect until terminated by you (by action of deletion of the Application or any other action which entails non-usage of the Application) or the Provider.
The Provider may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from the Provider, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your devices or from your desktop where the Application is installed.
Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your mobile device or from your desktop.

Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Amendments to this Agreement
The Provider reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide the same in the form of update to the Application or other means of communication. What constitutes a material change will be determined at our sole discretion.
